Business Law

Business Entities

RWO corporate attorneys provide essential business and tax planning for entrepreneurs, executives and owners, and their business. RWO’s corporate attorneys represent corporations, partnerships, limited liability companies, non-profit organizations and closely-held business including multi-generational family business. In many cases, we serve as the lawyers for the business and for the business owners. Our attorneys develop client relationships that move beyond formalities and reflect our focused investment in the well-being of both the business and its owners.

Corporate

Our attorneys help business owners with entity selection, formation and structure; organization of management, entity governance and ownership succession plans. These services require our attorneys to be very familiar with a broad range of legal and industry compliance issues to enable us to advise clients about organizing and operating their enterprises according to law and to best practices.

RWO attorneys regularly advise clients concerning significant business acquisitions, mergers, sales and combinations, transactions, reorganizations and restructurings, and debt and equity financings. In the marketplace today, our services also include due diligence investigation, negotiation and preparation of transaction documents and business contracts, and post-closing follow-through. Our corporate attorneys also have important experience in income and estate tax, public and private securities, financefranchisebanking, contracts, employmentconstruction and real estate.

RWO attorneys work with a diverse array of businesses, including sales and service, medical, accounting, architecture, manufacturing, real estate development, professional sports teams, banks, other financial institutions, general and specialty contractors and high-tech enterprises.

Corporate and Partnership Taxation

RWO lawyers handle the state and federal tax aspects of complex business transactions, including mergers, sales, exchanges, acquisitions, dissolutions and reorganizations. This group also assists during the creation of new partnerships, limited liability companies and limited liability partnerships, and corporations, including S corporations, and in business planning.

Mergers and Acquisitions

Our lawyers help owners and executives navigate through the myriad legal obstacles presented when one entity acquires the business or assets of another or when two or more entities combine their business.

The RWO team offers advice on the financial, regulatory and environmental liabilities that may be attached to buying a company, including gaming or liquor license issues, and state and federal securities laws. In addition, the attorneys in RWO’s mergers and acquisitions practice group use their extensive connections to help clients in areas outside the M&A legal arena, including finding financial advisors to help business raise capital.

Non-Profit

RWO attorneys work with the creation and administration of exempt organizations, including both publicly supported charitable organizations and private family foundations. We assist clients in qualifying for tax-exempt status and advising exempt organizations with respect to maintaining their tax-exempt status, unrelated business income tax issues and compliance with federal and state income tax laws.

Securities

RWO attorneys help clients seeking to finance their growth with debt or equity capital face a complex array of federal and state securities laws and regulations that govern the capital raising process. RWO’s securities attorneys have a wealth of experience assisting private and public companies, companies seeking to become publicly traded or to be acquired by a public company, and their principals in achieving compliance with these laws and regulations. We assist clients with a variety of financings, from “friends and family” rounds to “angel” financing to venture capital financing to their exit strategies – an initial public offering or an acquisition.

We also team with our publicly-held clients and their shareholders to comply with the reporting and other requirements of the Securities and Exchange Commission and the obligations of the various exchanges or markets on which their securities trade, including the requirements of the Sarbanes-Oxley Act of 2002.
