T.J. Johnson

TJ is a transactional attorney who advises businesses on a variety of corporate, commercial, and franchise matters. He works with clients on contract negotiation, corporate governance, compliance, and strategic business initiatives, providing practical and business-oriented legal guidance. TJ has experience representing clients in mergers and acquisitions, venture capital financings, and other complex transactions, leading transaction document negotiations and coordinating due diligence efforts.

Before joining RWO, TJ served as in-house mergers and acquisitions counsel for a private equity-backed, SEC-registered investment adviser, where he acted as lead deal counsel on acquisitions of wealth management firms, tax and accounting firms, and family office-related businesses. He previously worked on the securities team at Techstars, where he advised on venture capital investments in emerging companies and represented Techstars in venture financings, mergers and acquisitions, corporate reorganizations, and other transactions involving early-stage companies. His experience representing both investors and operating businesses gives him a practical perspective on the legal and business considerations involved in growth, investment, and strategic transactions.

TJ earned his J.D. from the University of Denver Sturm College of Law, where he completed the Corporate and Commercial Law Program and received a Scholastic Excellence Award. He earned bachelor’s degrees in civil engineering and environmental engineering from the University of Michigan. TJ volunteers with the Colorado Lawyers Committee’s Nonprofit Legal Audit Clinic and participates in volunteer initiatives through the Colorado Bar Association Young Lawyers Division. He is admitted to practice in Colorado.
